Gebruiksvoorwaarden Applicaties

Artikel 1 – Toepassingsgebied

Deze gebruiksvoorwaarden (de “Gebruiksvoorwaarden”) bepalen de rechten en verplichtingen van de gebruikers (met inbegrip van de Klant) in verband met de Applicaties en het gebruik ervan. De term “Applicaties” omvat alle applicaties van Optiflux NV (zie contactgegevens onderaan), met name “WatchDog”, “QualityInsights”, “Storage Insights”, “OptiControl” en “OptiPallet”zoals nader toegelicht onder artikel 2.

Optiflux is enkel bereid om toegang tot de Applicaties te verlenen aan gebruikers die deze Gebruiksvoorwaarden en het Privacybeleid van Optiflux (en wijzigingen daaraan) onvoorwaardelijk aanvaarden. Indien een gebruiker niet akkoord gaat, moet deze het gebruik van de Applicaties onmiddellijk staken. In geen geval zal dit een terugbetaling of de beëindiging van de Voorwaarden rechtvaardigen. De Klant is verantwoordelijk voor diens gebruikers en voor hun naleving van de Gebruiksvoorwaarden.

Artikel 2 – Applicaties

De Applicaties omvatten het volgende:

  1. WatchDog: Webapplicatie voor verzamelen en gebruiksvriendelijk weergeven van de meetgegevens en machinetijden in een overzichtelijk dashboard aan de hand van lijsten en grafieken. Mogelijkheid tot instellen van alarmdrempels en notificaties bij afwijking via email & sms. Mogelijkheid tot efficiënt invoeren van handmatige controlemetingen op gassamenstelling en temperatuur. Mogelijkheid tot flexibel exporteren van gegevens in de vorm van tabellen en grafieken voor rapportering en verslagen.
  2. QualityInsights: Software (mobiele applicatie + webappapplicatie) om op basis van computervisie en AI de kwaliteit van verse groenten en fruit te inspecteren, analyseren, beheren en rapporteren doorheen de koudeketen.
  3. StorageInsights: Deze module maakt gebruikt van wiskundige modellen die de verandering van de kwaliteit van fruit en groenten kunnen beschrijven op basis van de beginkwaliteit van de partij bij inzet en de opgemeten gassamenstelling en temperatuur. Aan de hand van deze module kan bepaald worden welke partijen geschikt zijn voor korte, middellange en lange bewaring en laat toe op een geïnformeerde manier beslissingen te nemen over wanneer welke koelcel te openen. Metingen en grafieken in verband met de kwaliteitsvoorspelling van fruit en groenten worden eveneens weergegeven in het dashboard van de webapplicatie en het is mogelijk alarmen in te stellen en geïnformeerd te worden wanneer een partij de vooropgestelde kwaliteitslimiet bereikt.
  4. OptiControl: Om een alternatief te bieden aan biotelers en aan conventioneel geteeld fruit en groenten indien SmartFresh in de toekomst ongewenst/verboden zou worden, biedt OptifluxT een gepatenteerde DCA-technologie aan. Bij DCA wordt het O2 niveau in de koelcel gradueel verlaagd, tot er op basis van de vruchtademhaling gedetecteerd wordt dat het fruit of de groenten lage zuurstofstress ondervinden. Vervolgens wordt het O2 niveau lichtjes verhoogd tot deze lage O2 stress verdwijnt. Op die manier worden fruit en groenten bewaard bij het laagst mogelijke O2 niveau wat leidt tot maximaal behoud van de kwaliteit, zonder dat er smaak- of bewaarafwijkingen worden geïnduceerd. Deze technologie is zeer duurzaam, daar ze de naoogstverliezen beperkt en er door het verlagen van de ademhaling van het fruit en de groenten in bewaring tot 20% op koelenergie bespaard wordt.
  5. OptiPallet sofware suite: Software voor meten & regelen en opvolgen van condities en kwaliteit van kleine bewaareenheden zoals hoezen en containers.

De Applicaties zijn mogelijk niet beschikbaar in geval van updates, storingen, onderhoud, etc. Dit wordt zoveel mogelijk beperkt, zonder recht op schadevergoeding. Onderhoud is mogelijk op elk moment en zonder voorafgaande kennisgeving. Optiflux kan altijd wijzigingen aanbrengen aan de Applicaties en fouten verbeteren. Optiflux behoudt zich het recht voor om de toegang tot en/of het gebruik van de Applicaties te weigeren, tijdelijk of definitief.

Artikel 3 – Toegang – Accounts

Om toegang te krijgen tot de Applicaties moeten de gebruikers een account aanmaken aan de hand van een online registratie via de webapplicatie van Optiflux. Daarbij moeten zij (minstens) de volgende informatie opgeven: organisatie, naam, e-mail adres en GSM-nummer. Alle andere informatie is niet verplicht, hoewel Optiflux dit kan aanraden of vereisen in functie van specifieke functionaliteiten. De gebruiker verstrekt volledige, actuele en correcte informatie en zal deze steeds updaten.

Als de gebruiker een account heeft, kan hij/zij inloggen met zijn/haar inlognaam en wachtwoord. Elk account is uniek en elke gebruiker mag slechts 1 (één) account hebben. De Klant dient ervoor te zorgen dat:

  1. Elke gebruiker een wachtwoord kiest dat voldoende complex en lang is;
  2. de inloggegevens en wachtwoorden van de gebruikers veilig en vertrouwelijk blijven; en
  3. de wachtwoorden van de gebruikers worden gewijzigd als er een vermoeden bestaat dat iemand anders er kennis van nam.

De Klant is verantwoordelijk voor alle activiteit via de accounts van de gebruikers en zal Optiflux zo snel mogelijk informeren bij (vermoedens van) inbreuken. De Klant zal Optiflux vrijwaren voor elke schade als gevolg van gebruik en misbruik van de Applicaties, en inbreuken op deze Gebruiksvoorwaarden.

Artikel 4 – Gebruik van de Applicaties

De Applicaties mogen enkel worden gebruikt voor rechtmatige doeleinden en voor de voorziene functionaliteiten. Het is de Klant en diens gebruikers verboden om de veiligheid en werking van de Applicaties (te proberen) te schenden.

In het bijzonder (zonder beperking) mogen noch de Klant noch de gebruikers de Applicaties gebruiken:

  1. om de rechten van derden te schenden, zoals intellectuele eigendomsrechten en privacy;
  2. ten behoeve van derden, aangezien het gebruik van de Applicaties persoonlijk is;
  3. door de Applicaties of inhoud ervan te verkopen, in sub licentie te geven of anderszins te distribueren aan derden;
  4. door middel van externe toepassingen die automatisch informatie van de Applicaties downloaden (vb. scraping);
  5. om te proberen ongeoorloofde toegang te krijgen tot enige informatie, dienst, apparaat, gegevens, account of netwerk of deze te verstoren;
  6. op een manier die de Applicaties kan schaden, technische storingen kan veroorzaken of het gebruik ervan door anderen kan belemmeren (vb. virussen, flooding)
  7. op een manier die Optiflux objectief gezien onaanvaardbaar vindt.

Indien de Klant of een gebruiker kennis krijgt van dergelijke activiteiten, stelt hij/zij Optiflux daarvan onmiddellijk op de hoogte en neemt hij/zij alle andere passende maatregelen om deze activiteiten te staken en de schade te beperken.

Artikel 5 – Aansprakelijkheid, overmacht en verandering van omstandigheden

Binnen de wettelijke perken, zal enige niet-nakoming door een van de partijen uitsluitend beheerst worden door de overeenkomsten tussen de partijen en bij aanvulling het contractenrecht, met uitsluiting van de buitencontractuele aansprakelijkheid, ongeacht of de wanprestatie al dan niet een onrechtmatige daad uitmaakt. Binnen de wettelijke perken, is elke buitencontractuele aansprakelijkheidsvordering ingevolge een niet-nakoming door elke hulppersoon van een partij uitgesloten, ongeacht of deze al dan niet een onrechtmatige daad uitmaakt.

Tenzij uitdrukkelijk anders is overeengekomen, vormen de verplichtingen van Optiflux middelenverbintenissen. Optiflux garandeert niet dat het gebruik van de Applicaties ononderbroken en foutvrij zal zijn, noch dat de inhoud van de Applicaties of de resultaten nauwkeurig en betrouwbaar zullen zijn. Optiflux is enkel aansprakelijk voor opzettelijke en zware fouten. Optiflux is nooit aansprakelijk voor gevolgschade, voor vorderingen van derden, noch in geval van overmacht (zijnde externe omstandigheden die gebeuren onafhankelijk van haar wil en die de uitvoering van haar verplichtingen onmogelijk of onredelijk bezwarend maken). In geen geval zal de aansprakelijkheid van Optiflux het bedrag van de contractwaarde per jaar overschrijden, ongeacht of de vordering op contractuele of niet-contractuele basis is ingesteld. De Klant en de gebruikers dienen alle redelijke maatregelen te nemen om eventuele schade te beperken. Deze bepaling geldt zowel voor contractuele als buitencontractuele vorderingen.

In geval van verandering van omstandigheden in de zin van artikel 5.74 van het Burgerlijk Wetboek kan een partij vragen om de overeenkomsten opnieuw te onderhandelen. De partijen voeren die onderhandelingen te goeder trouw en binnen een redelijke termijn.

Artikel 6 – Diverse bepalingen

Wijzigingen aan of afwijkingen van de Gebruiksvoorwaarden zijn enkel mogelijk met de schriftelijke goedkeuring van Optiflux. Indien een bepaling van de Voorwaarden ongeldig of niet-afdwingbaar wordt bevonden, zal dit de geldigheid en afdwingbaarheid van de overige bepalingen niet aantasten.

De Gebruiksvoorwaarden en, in het algemeen, elke (contractuele) relatie en/of vordering met betrekking tot de Applicaties is onderworpen aan het Belgisch recht. Elk geschil met Optiflux is onderworpen aan de exclusieve bevoegdheid van de rechtbanken van het rechtsgebied van de maatschappelijke zetel van Optiflux.
